The present Petition under Section 9 of the Arbitration and Conciliation Act, 1996 [“A&C Act”] has been filed by the Petitioner seeking the following reliefs: “(i.) Direct the Respondent to maintain status quo with respect to the assets, movable and immovable properties, bank accounts, books of account, statutory records, electronic records and affairs of Goel Industrial Corporation, pending the constitution of the Arbitral Tribunal and the adjudication of the disputes between the parties;
(ii.) Restrain the Respondent, his agents, representatives, servants or any person claiming through or under him from selling, transferring, This is a digitally signed order. alienating, leasing, mortgaging, encumbering, creating any third-party rights, parting with possession of, or otherwise dealing with any movable or immovable asset of the Firm in any manner whatsoever;
(iii.) Direct the Respondent to preserve and not tamper with or destroy the books of account, statutory records, income-tax records, GST records, bank statements, invoices, electronic data, computers, hard disks, emails, CCTV footage, CCTV equipment and all other records relating to the affairs of the Firm;
(iv.) Direct the Respondent to restore the Petitioner's access to the CCTV system and all electronic access credentials of the Firm, and further restrain the Respondent from altering, deleting or modifying any CCTV footage or electronic data pending the arbitral proceedings;
(v.) Direct the Respondent to permit the Petitioner joint, free and unrestricted access to the factory premises, office premises, books of account, statutory records and all assets of the Firm situated at 14/5, Mathura Road, Faridabad, Haryana, with police assistance, if necessary, to ensure compliance with the orders of this Hon'ble Court;
(vi.) Appoint a Local Commissioner to visit the premises of the Firm at Faridabad prepare an inventory of all movable assets, machinery, stock, books of account and records, inspect and secure the CCTV system and electronic records, and submit a report before this Hon'ble Court;
(vii.) Direct that Respondent shall make all payments, withdrawals, transfers and other transactions from or through the firm bank accounts only after prior intimation to the Petitioner, with complete particulars This is a digitally signed order. of the proposed transaction, and that the Respondent shall maintain and furnish to the Petitioner complete details and supporting documents in respect of all receipts and payments made through the said bank accounts, pending the constitution of the Arbitral Tribunal;
(viii.) Grant an ex parte ad interim order in terms of prayers (i) to (vii) above, pending notice to the Respondent;
(ix.) Pass such other and further order(s) as this Hon'ble Court may deem fit and proper in the facts and circumstances of the present case.”
The Petitioner has approached this Court seeking the aforementioned reliefs due to the disputes which have arisen out of the Partnership Deed dated 01.06.2004 entered into between the Petitioner and the Respondent.
Learned Counsel for the Respondent has entered appearance on advance notice.
Without going into the merits of the case, when this Court gave a suggestion to the learned Counsels for the parties for the appointment of an Arbitrator to adjudicate upon the disputes between the parties and treating the Present petition filed under Section 9 of the A&C Act as one filed under Section 17 of the A&C Act before the Arbitrator, the learned Counsels for the parties, on instructions, accept the said suggestion.
Accordingly, Mr. Ashim Vachar, Senior Advocate, (Mob No: 9811023217) is appointed as the Sole Arbitrator to adjudicate upon the disputes between the parties.
The arbitration would take place under the aegis of the Delhi International Arbitration Centre (DIAC) and would abide by its rules and This is a digitally signed order. regulations. The learned Arbitrator shall be entitled to fees as per the Schedule of Fees maintained by the DIAC.
The learned Arbitrator is also requested to file the requisite disclosure under Section 12(2) of the A&C Act within one week of entering reference.
All rights and contentions of the parties in relation to the claims/counter-claims are kept open, to be decided by the learned Arbitrator on their merits, in accordance with law.
The Arbitrator is requested to make an endeavour to decide the application under Section 17 of the A&C Act expeditiously, preferably within a period of four weeks from the date of entering reference.
It is made clear that all the observations made in this Order are only restricted to the issue of appointment of an Arbitrator and this Court has not made any observations on the merits of the case. It is expected the Ld. Arbitrator will decide the Section 17 application on the weight of the merits, contentions raised by both sides and on the documents being adduced by both sides without being influenced by this Order.
The Petition stands disposed of in the above terms, along with pending application(s), if any.
