ORDER:
The Company Application has been filed under Section 462 of the Companies Act, 1956 read with Rule 306 and 298 of the Companies (Court) Rules, 1959, for the following relief: i) Take the half-yearly accounts of the subject company (in liquidation) for the period from 01.10.2024 to 31.03.2025, along with independent Auditors’ Report dated 26.05.2026 submitted on 29.05.2026 by M/s Murthy & Kanth, Chartered Accountants on record and permission may be accorded to make the payment of audit fee of Rs.500/- plus GST to the said auditor. ii) Cost of this application (Court fee Stamps & Notary Charges etc.,) may be permitted to be met out by the Official Liquidator from the available funds of the company (in liquidation) or Estate and Establishment Fund account if no fund is available in the company’s account; subject to reimbursement of the same from the funds of Company (in liqn) upon realization of assets of the Company (in liqn), if any, and iii) It is further submitted that, half-yearly accounts of the company (in liqn) are being filed regularly as required under section 462 of the companies act, 1956, as per se exemption may be granted for filing of annual/final accounts for the financial year 2024-25 as required under section 551 of the Companies Act, 1956, since the audited half-yearly accounts for the half yearly period from 01.04.2024 to 30.09.2024 & 01.10.2024 to 31.03.2025 are filed before the Hon’ble Court, and the annual accounts are nothing but combination/merger of the two half yearly financial statements of the financial year 2024-25, and pas such…..

Sri T.V.P.Sai Vihari, learned Official Liquidator, submits that the in compliance of the provision of Section 462 of the Companies Act, 1956 read with Rule 298 and Rule 306 of the Companies (Court) Rules, 1959. He further submits that half-yearly accounts of the above said company (in liqn) for the period from 01.10.2024 to 31.03.2025, which were duly audited by M/s. Murthy & Kanth, Chartered Accountant.
Sri T.V.P.Sai Vihari, learned Official Liquidator, further submits that since there are no adverse comments and observations on the statement of Accounts of the said company, he requests this Court to take, the half yearly
accounts for the period from 01.10.2024 to 31.03.2025 and auditor report of the subject company, on record.
Considering the submissions made, since the two half-yearly statements of the company are being filed regularly, before this Court, keeping in notice, the filing of annual return of statement of accounts is hereby dispensed with for the time being. The Official Liquidator is also permitted to release the payment of audit fee of Rs.500/- plus GST to the Auditor i.e., to M/s.Murthy & Kanth, Chartered Accountant.
With the above observations, this Company Application is allowed. No costs.
Consequently, miscellaneous petitions if any, shall stand closed.
Interim orders granted earlier if any, also shall stand closed.
